Portal to Bitcoin Testnet Community Referral Program

These Terms and Conditions ("Agreement") govern the Portal Testnet Community Referral Program (the "Promotion") and are incorporated by reference to the Terms and Conditions found at portaltobitcoin.com/bonusblockcampaignterms (the "Existing Terms"). In the event of any conflict between this Agreement and the Existing Terms, the Existing Terms shall control.

Promotion Period
1. The Promotion will run for one (1) month, commencing at 14:00 UTC on April 7, 2025 and concluding at 14:00 UTC on May 6, 2025 (the "Promotion Period").
Eligibility
1. The Promotion is open to individuals who meet all of the following criteria:
  1. Are at least eighteen (18) years of age at the time of entry;
  2. Reside in a jurisdiction where participation in the Promotion does not violate any applicable local, state, national, or international laws or regulations;
  3. Are not listed on, or associated with any person or entity listed on, any sanctions list maintained by the Office of Foreign Assets Control of the U.S. Department of the Treasury ("OFAC") or any other applicable sanctions authority, including but not limited to OFAC's Specially Designated Nationals and Blocked Persons List;
  4. Do not use any digital wallet that is subject to sanctions or restrictions imposed by OFAC or any other applicable sanctions authority;
  5. Are not employees, officers, directors, agents, or representatives of the Promoter, its parent company, affiliates, subsidiaries, advertising or promotion agencies, or any other entities directly associated with this Promotion, or members of their immediate families or households.
2. The Promoter reserves the right to verify the eligibility of all participants and to disqualify any participant who does not meet the eligibility criteria or who has violated any provision of this Agreement.
3. By participating in the Promotion, each participant represents and warrants that they meet all eligibility requirements and that their participation does not violate any applicable laws, regulations, or sanctions.
4. The Promoter may, in its sole discretion, require participants to provide proof of eligibility, including but not limited to government-issued identification, proof of residence, or any other documentation deemed necessary to verify compliance with these eligibility criteria.
5. Participation is void where prohibited by law, and the Promotion is subject to all applicable federal, state, and local laws and regulations.
How to Participate
1. To be considered a verified referral, referred users must:
  1. Download the Porta Dexl Chrome Extension (found here: link) and connect it to the BonusBlock (found here: link);
  2. Follow the Promoter on Twitter;
  3. Like and retweet the Promotion announcement tweet;
  4. Join the Promoter's Discord server (found here: link);
2. Participants can refer an unlimited number of users, but each referred user must complete all the requirements in Section 3(a) to be counted as a verified referral.
3. Participants will be able to view the number of their verified referrals on the Promotion's leaderboard, which will be updated regularly during the Promotion Period.
4. The Promoter reserves the right to implement additional verification measures to ensure the integrity of the Promotion, including but not limited to IP address monitoring, device fingerprinting, and manual review of participant activities.
Prizes
1. The total prize pool for the Promotion is $10,000 USDT and Testnet Sparks.
2. The prize structure is as follows:
  1. 1st Place: $2,000 USDT
  2. 2nd Place: $1,200 USDT
  3. 3rd Place: $750 USDT
  4. 4th Place: $500 USDT
  5. 5th Place: $400 USDT
  6. 6th Place: $350 USDT
  7. 7th Place: $325 USDT
  8. 8th Place: $300 USDT
  9. 9th Place: $275 USDT
  10. 10th Place: $250 USDT
  11. 11th - 20th Place: $120 USDT each (10 people, $1,200 USDT total)
  12. 21st - 30th Place: $100 USDT each (10 people, $1,000 USDT total)
  13. 31st - 40th Place: $80 USDT each (10 people, $800 USDT total) and 3,000 Sparks each
  14. 41st - 50th Place: $65 USDT each (10 people, $650 USDT total) and 2,500 Sparks each
  15. 51st - 75th Place: 1,500 Sparks
  16. 76th - 100th Place: 1,000 Sparks
  17. 101st - 150th Place: 750 Sparks
  18. 151st - 200th Place: 500 Sparks
3. Prize Distribution:
  1. Prize winners will be notified via direct message on Discord within seven (7) business days of the conclusion of the Promotion Period.
  2. Winners must provide a valid USDT ERC-20 wallet address to receive their prize within fourteen (14) days of notification. Failure to provide a valid wallet address within this timeframe may result in forfeiture of the prize.
  3. USD prizes will be distributed in the form of USDT (ERC-20) within thirty (30) days of the winner providing a valid wallet address.
  4. The Sparks prizes will be distributed within forty-five (45) days of the conclusion of the Promotion Period, subject to any technical or regulatory requirements.
  5. All prizes are non-transferable and non-exchangeable. No substitution or cash equivalent of prizes is permitted.
  6. Winners are solely responsible for any and all federal, state, and local taxes on prizes.
Disqualification
1. The Promoter reserves the right, at its sole discretion, to disqualify any participant who it determines has cheated, tampered with, or attempted to tamper with the operation of the Promotion, or has violated this Agreement or the Existing Terms.
2. Any attempt by a participant to deliberately undermine the legitimate operation of the Promotion may be a violation of criminal and civil laws, and should such an attempt be made, the Promoter reserves the right to seek damages from any such participant to the fullest extent permitted by law.
Compliance with Twitter Policies
1. The Promotion shall be conducted in compliance with all applicable Twitter platform policies and guidelines.
2. The Promoter reserves the right to modify, suspend, or terminate the Promotion at any time if it determines that the Promotion is not in compliance with Twitter's policies.
3. Participants acknowledge that the Promotion is in no way sponsored, endorsed, administered by, or associated with Twitter.
Verification of Participants and Referrals
1. The Promoter may implement reasonable measures to verify the eligibility of participants and referred users, including, but not limited to, requiring participants to provide proof of identity and completion of the required actions.
2. The Promoter reserves the right to disqualify any participant or referred user that it determines, in its sole discretion, has provided false or misleading information.
3. The Promoter may use technical measures, including IP address monitoring and device fingerprinting, to detect and prevent fraudulent activities.
Intellectual Property Rights
1. All intellectual property rights in the Promotion and related materials, including but not limited to copyrights, trademarks, trade names, and trade secrets, are owned by the Promoter or its licensors.
2. Participants are granted a limited, non-exclusive, non-transferable license to use the Promoter's intellectual property solely for the purpose of participating in the Promotion.
3. Participants shall not use, reproduce, distribute, or create derivative works based on the Promoter's intellectual property without the express written consent of the Promoter.
Limitation of Liability
1. To the fullest extent permitted by law, the Promoter, its affiliates, and their respective officers, directors, employees, and agents shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or relating to the Promotion or any prize awarded.
2. The Promoter's total liability to any participant for any claim arising out of or relating to the Promotion shall not exceed the value of the prize awarded to such participant.
3. The Promoter shall not be liable for any technical malfunctions, errors, or failures of any kind, including but not limited to any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries.
Dispute Resolution
1. Any dispute, controversy, or claim arising out of or relating to this Agreement or the Promotion shall be resolved through the following process:
  1. Informal Negotiation: The parties shall first attempt to resolve the dispute through good-faith negotiations between the participant and a representative of the Promoter.
  2. Mediation: If the dispute is not resolved through informal negotiation within thirty (30) days, either party may initiate mediation by providing written notice to the other party. The mediation shall be conducted by a mutually agreed-upon mediator in Salt Lake City, Utah.
  3. Arbitration: If the dispute is not resolved through mediation within sixty (60) days of the initiation of the mediation process, either party may initiate binding arbitration. The arbitration shall be conducted in accordance with the rules of the American Arbitration Association by a single arbitrator in Salt Lake City, Utah.
2. The language of the arbitration shall be English. The decision of the arbitrator shall be final and binding on both parties.
3. Each party shall bear its own costs and expenses associated with the dispute resolution process, including attorney's fees.
Incorporation of Existing Terms
1. Except as otherwise provided herein, the Existing Terms found at portaltobitcoin.com/bonusblockcampaignterms are hereby incorporated by reference and shall apply to this Promotion.
2. In the event of any conflict between this Agreement and the Existing Terms, the Existing Terms shall control.
Governing Law and Jurisdiction
1. This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without giving effect to any choice of law or conflict of law rules or provisions.
2. Subject to the dispute resolution provisions in Section 10, any legal suit, action, or proceeding arising out of or relating to this Agreement or the Promotion shall be instituted in the federal courts of the United States of America or the courts of the State of Delaware, in each case located in the City of Dover and County of Kent, and each party irrevocably submits to the exclusive jurisdiction of such courts in any such suit, action, or proceeding.
Communication and Updates
1. The Promoter will provide regular updates to participants throughout the Promotion Period, including:
  1. Weekly leaderboard updates via Discord announcements and other methods at Promoter’s discretion;
  2. Reminders of key dates and deadlines;
  3. Any changes or modifications to the Promotion, which will be communicated via Discord, and other methods at Promoter’s discretion.
2. Participants are responsible for ensuring that their contact information is up to date and that they regularly check the designated communication channels for updates.
Handling of Cryptocurrency and Digital Assets
1. Participants acknowledge that Testnet Sparks have no monetary value and are intended solely for use within Promoter’s BonusBlock leaderboard.
2. The distribution of Testnet Sparks is subject to technical and regulatory requirements, and the Promoter reserves the right to modify the distribution process or timeline as necessary to comply with applicable laws and regulations.
3. Participants are solely responsible for the security and proper management of their digital wallets and assets.
Miscellaneous
1. The Promoter reserves the right to modify, suspend, or terminate the Promotion at any time, for any reason, with or without notice.
2. If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.
3. The failure of the Promoter to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.
4. This Agreement constitutes the entire agreement between the participants and the Promoter concerning the Promotion and supersedes all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between the participant and the Promoter.
5. The headings used in this Agreement are for convenience only and shall not affect the interpretation of any terms.

By participating in the Promotion, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions and the Existing Terms.
